1. Purpose
This policy outlines the terms and conditions under which Channel Partners can collaborate with Civilarch Group (a venture of Spanhaus Design & Construction Pvt Ltd) to promote and offer our architecture, interior, and construction services. The partnership is intended to foster long-term, mutually beneficial relationships with reliable and experienced Channel Partners while ensuring the integrity and quality of all services delivered.
2. Eligibility Criteria
To qualify as a Channel Partner with Civilarch Group, the following criteria must be met:
RERA Registration: The Channel Partner must hold a valid RERA registration and be authorized to operate in their respective region under the Real Estate (Regulation and Development) Act, 2016. This ensures that both Civilarch Group and our Channel Partners work within the legal framework that governs real estate and construction services.
Experience and Expertise: Channel Partners must have a proven track record in the architecture, interior design, or construction industry, with experience in residential, commercial, and institutional projects.
Reputation for Integrity: The Channel Partner must demonstrate a commitment to professional ethics, transparency, and delivering high-quality services.
Legal and Regulatory Compliance: Channel Partners must comply with all applicable laws and regulations, including RERA, to ensure that all dealings with clients are fully compliant and transparent.
3. Services Covered
Civilarch Group offers the following services, which Channel Partners will promote and facilitate:
Architecture Services: Comprehensive architectural design, planning, and consultation for residential, commercial, and institutional projects.
Interior Design Services: Full interior design services, from conceptualization to execution, including space planning, lighting, and material selection for both residential and commercial spaces.
Construction Services: A complete range of construction services, from site preparation and foundation work to finishing and handover, including project management and site supervision.
4. Channel Partner Responsibilities
The Channel Partner will:
Promote Services: Actively market and promote the services of Civilarch Group to clients across various sectors, ensuring the benefits of working with a professional and reliable construction and design firm are well communicated.
Lead Generation: Identify, qualify, and refer potential clients to Civilarch Group for architecture, interior design, and construction services.
Client Education: Provide clients with detailed information about Civilarch Group’s services, processes, and the advantages of working with an established firm known for delivering quality.
Facilitate Communication: Serve as the point of contact between Civilarch Group and the client, assisting with smooth communication and project coordination.
5. Payment Handling and Terms
No Direct Payment from Clients: The Channel Partner is strictly prohibited from collecting any payments (full or partial) from the client on behalf of Civilarch Group. All client payments must be made directly to Civilarch Group in accordance with our established invoicing and payment procedures.
Payment Transparency: The Channel Partner must ensure that no financial transactions, including advance payments or deposits, are handled directly between the client and the Channel Partner.
Commission Payment: The Channel Partner will receive commissions based on successful project conversion, as detailed in the commission structure below, once the client makes the full payment for the respective services.
6. Lead Handling and Validity
Lead Exclusivity: Any lead provided to Civilarch Group by the Channel Partner will be deemed valid only if the lead is provided exclusively by that partner. If the same lead is submitted by another partner, it will be treated as a duplicate lead and will not qualify for commission.
Lead Conversion Timeframe: Leads must convert into active projects within 3 months of being submitted. If a lead does not result in a successful conversion within this time frame, it will be classified as a non-qualified lead and will not be eligible for commission.
Lead Ownership: The lead provided by the Channel Partner will remain valid only under their ownership, as long as it is the first and only submission. Any subsequent submissions of the same lead by other Channel Partners will void the original lead, and it will no longer be considered for commission.
7. Commission Structure
Channel Partners will be compensated based on the successful conversion of leads into projects:
Architecture Services: A commission percentage based on the contract value for architecture services.
Interior Design Services: A commission percentage based on the total value of interior design services, including all associated materials and execution.
Construction Services: A commission percentage based on the total construction contract value, excluding materials directly billed to the client.
8. Payment Terms
Commission Payout: Commissions will be paid upon the successful completion of each project milestone or service delivery, based on payments received from the client.
Payment Schedule: Commissions will be paid within 15 days of the client’s payment to Civilarch Group for the relevant milestone or service.
Refunds and Cancellations: In the event of a project cancellation or a client request for a refund, commissions will be adjusted accordingly, based on the actual payments received.
9. Marketing Support
To assist Channel Partners, Civilarch Group will provide:
Marketing Materials: Brochures, presentations, digital content, and other resources to help promote our services effectively.
Training and Updates: Periodic training sessions on service offerings, project execution, and best practices in the industry.
Branding: Channel Partners are authorized to use Civilarch Group’s branding and logo, ensuring professional representation and consistency in marketing efforts.
10. Termination of Agreement
Civilarch Group reserves the right to terminate the Channel Partner agreement if:
Non-Compliance: The Channel Partner violates any terms of this agreement, including failure to meet ethical standards or performance expectations.
Inactivity: The Channel Partner fails to generate qualified leads or engage in meaningful business development efforts.
Unethical Practices: Any conduct that could damage the reputation of Civilarch Group, including misrepresentation of our services or failure to deliver on promises.
11. Confidentiality & Non-Disclosure Agreement
The Channel Partner will sign a Confidentiality and Non-Disclosure Agreement (NDA) to protect any confidential information, client data, and proprietary content shared during the course of the partnership.
12. Dispute Resolution
In case of a dispute, both parties agree to attempt resolution through mutual negotiation. If the issue remains unresolved, the dispute will be handled through arbitration in accordance with the Indian Arbitration and Conciliation Act, 1996.
13. Additional Terms & Conditions
Ownership of Leads: A lead is considered valid only if it is submitted directly by the Channel Partner. Any repeated submissions of the same lead by different Channel Partners will be deemed as duplicate leads and will not qualify for commissions.
Lead Qualification: Leads must convert into projects within 3 months from the date of submission. If the conversion does not happen within this period, the lead will be considered non-qualified and will not be eligible for commission.
Ethical Conduct: The Channel Partner must always act ethically and professionally, adhering to all legal regulations. Any breach of conduct will lead to termination of the partnership and forfeiture of commissions.
14. Conclusion
By becoming a Channel Partner with Civilarch Group, the partner agrees to uphold the highest standards of professionalism, transparency, and quality. This partnership ensures that clients benefit from Civilarch Group’s expertise and industry leadership in architecture, interior design, and construction services.
